I. STANDARD BUSINESS TERMS

§ 1 Basic Provisions

(1) These Business Terms apply to all contracts concluded between you and PROJECT CO GROUP LTD, trading through projectcogroup.com, for the purchase of products offered on our Website.

(2) Products displayed on the Website may be selected and added to the online Shopping Cart.

The product description, price and other relevant information are displayed on the applicable product page.

(3) The purchase process through the online Shopping Cart operates as follows:

Products intended for purchase are added to the Shopping Cart.

You may access the Shopping Cart and review, remove or change products before proceeding to checkout.

After accessing the Checkout page, you will be asked to provide information required to process your order, which may include:

  • your name;

  • billing address;

  • shipping address;

  • email address;

  • telephone number;

  • payment information;

  • delivery information.

Before submitting the order, you will have the opportunity to review the products selected, quantities, prices, shipping costs and your personal information and to correct any errors.

The button used to submit the order will make clear that placing the order involves an obligation to pay.

By submitting the order, you make a binding request to purchase the products contained in your order.

After receiving your order, we will send an electronic confirmation to the email address provided by you.

A contract between you and PROJECT CO GROUP LTD is formed when your order is accepted by us and you receive confirmation of acceptance and/or dispatch, unless otherwise expressly stated during the checkout process.

(4) Any enquiry submitted to us requesting a personalised quotation does not create a binding contract.

Where we provide you with a written quotation, including by email, the quotation will remain valid for the period specified in that quotation.

If no specific period is stated, the quotation may be accepted within 5 days, unless withdrawn or replaced by us beforehand.

(5) Order processing and communications relating to the contract may take place electronically and in a partially automated manner.

You are responsible for ensuring that the email address provided to us is correct and capable of receiving our communications.

You should also check that our emails are not blocked by your spam or junk mail filters.

§ 3 Payment and Reservation of Ownership

(1) Payment must be made using one of the payment methods displayed at checkout.

Unless expressly stated otherwise, payment is due at the time the order is placed.

(2) Products remain the property of PROJECT CO GROUP LTD until payment for the relevant order has been received in full.

§ 4 Consumer Rights and Warranty

(1) Nothing in these Business Terms excludes or limits any statutory rights available to Consumers under applicable UK consumer protection legislation, including the Consumer Rights Act 2015.

Goods supplied must meet the standards required by applicable law, including being:

  • as described;

  • of satisfactory quality;

  • fit for purpose where applicable.

(2) When you receive your order, we recommend that you check the package and products for:

  • missing items;

  • visible defects;

  • incorrect products;

  • damage occurring during delivery.

If you identify an issue, please contact us as soon as reasonably possible at:

contact@projectcogroup.com

Where appropriate, we may request photographs or other reasonable information to help us investigate the issue.

Failure to inspect the goods immediately upon delivery does not remove any statutory consumer rights you may have.

§ 5 Governing Law and Jurisdiction

(1) These Business Terms and any contract concluded through projectcogroup.com are governed by the laws of England and Wales.

If you are a Consumer resident outside England and Wales, this choice of law does not deprive you of any mandatory consumer protection rights that apply to you under the law of your country of residence where those rights cannot legally be excluded.

(2) If you are a Consumer, disputes may be brought before the courts having jurisdiction under applicable consumer law.

Nothing in these Terms restricts any mandatory right a Consumer may have to bring proceedings in another competent jurisdiction.

(3) If you are a Business Customer, the courts of England and Wales shall have exclusive jurisdiction over disputes arising out of or relating to these Business Terms or any contract concluded with PROJECT CO GROUP LTD, unless otherwise agreed in writing.

Product images are provided for illustration purposes.

Where products are custom-made, personalised or produced specifically to a customer’s requirements, certain visual characteristics may differ from standard product images depending on the specifications agreed with the customer.

Minor differences in appearance, colour or positioning may occur as a result of:

  • screen or display settings;

  • manufacturing tolerances;

  • printing processes;

  • materials used;

  • individual product specifications.

Such minor differences do not affect your statutory rights where a product does not conform to the contract.

6. Prices and Payment Arrangements

6.1 Product prices are displayed on the Website before you place your order.

Any applicable taxes will be included or clearly indicated as required by law.

The total amount payable will be shown before the order is submitted.

Where free delivery applies, this will be clearly stated.

6.3 The available payment methods are displayed during checkout.

Payment may be processed through third-party payment processors.

PROJECT CO GROUP LTD does not necessarily receive or store your complete credit or debit card details.

Payment information may instead be transmitted securely and directly to the relevant payment provider.

6.4 Unless otherwise stated for a specific payment method, payment becomes due when the order is submitted.

6.5 If your card issuer, bank or payment provider charges currency conversion, international transaction or other banking fees, those charges are your responsibility and are not charged by PROJECT CO GROUP LTD.

7. International Orders, Customs and Import Charges

Where products are delivered outside the United Kingdom, the shipment may be subject to:

  • customs duties;

  • import VAT;

  • local taxes;

  • customs clearance fees;

  • handling charges;

  • other charges imposed by authorities or delivery providers in the destination country.

Unless expressly stated otherwise during checkout, these additional charges are the responsibility of the customer.

PROJECT CO GROUP LTD does not control charges imposed by customs authorities or other government agencies in the destination country.

Customers placing international orders are responsible for ensuring that the products ordered may legally be imported into the destination country.

Customs procedures may also cause delivery delays outside our reasonable control.

8. Delivery Conditions

8.1 Available delivery methods, estimated delivery periods and applicable delivery charges will be displayed on the Website, during checkout and/or communicated in the relevant order confirmation.

8.2 We will deliver products to the delivery address provided when the order is placed.

You are responsible for ensuring that the delivery address is complete and accurate.

Please review the delivery address carefully before placing your order.

8.3 Unless another delivery period has been expressly agreed with you, we will dispatch and deliver orders within the period required under applicable consumer law.

8.4 Where you are a Consumer and PROJECT CO GROUP LTD selects the delivery provider, the risk of accidental loss or damage to the goods generally remains with us until the goods are delivered into your physical possession or that of a person identified by you to receive them.

Different rules may apply where you independently arrange your own carrier and that carrier was not offered by us.

8.5 Estimated delivery dates are estimates unless expressly agreed as guaranteed delivery dates.

We are not responsible for delays resulting from circumstances outside our reasonable control, including where applicable:

  • courier delays;

  • customs processing;

  • severe weather;

  • transport disruption;

  • strikes;

  • government action;

  • other circumstances beyond our reasonable control.

This does not affect your statutory consumer rights.

9. Cancellation of Online Orders

Where applicable, Consumers purchasing goods online generally have a legal right to cancel a distance contract within 14 days after receiving the goods, without having to provide a reason.

To exercise a right of cancellation, please contact:

contact@projectcogroup.com

Your communication must clearly state that you wish to cancel the relevant order and should include sufficient information for us to identify the order.

This may include:

  • your name;

  • order number;

  • email address used for the order;

  • products concerned.

The statutory cancellation right may not apply to certain products where an exception is permitted by law.

This may include products:

  • made to the customer’s specifications;

  • clearly personalised;

  • custom-made specifically for the customer.

Further information regarding cancellations, returns and refunds should be read together with our Returns & Refund Policy.

10. Returns and Refunds

Where you exercise a valid statutory right to cancel, products must be returned in accordance with applicable legal requirements and our Returns & Refund Policy.

Your statutory rights concerning products that are:

  • faulty;

  • damaged;

  • misdescribed;

  • incorrect;

  • otherwise non-conforming

are separate from the general cancellation right and are not affected by these Business Terms.

Customers should retain reasonable proof of postage or tracking information when returning products where applicable.

Any refund due will be processed in accordance with applicable law and our Returns & Refund Policy.

11. Intellectual Property

All Website content, including where applicable:

  • product photographs;

  • product designs;

  • text;

  • Website layouts;

  • illustrations;

  • artwork

is owned by or licensed to PROJECT CO GROUP LTD, unless otherwise stated.

Such content may not be copied, reproduced, distributed, modified or commercially exploited without prior written permission, except where permitted by law.

Purchase of a product does not transfer intellectual property rights relating to the design, artwork, branding or other protected material associated with that product.

12. Personalised and Custom Products

Where a product is produced according to specifications provided by the customer, you are responsible for ensuring that all information supplied to us is accurate before production begins.

This may include:

  • names;

  • text;

  • photographs;

  • vehicle details;

  • colours;

  • designs;

  • dimensions;

  • other customisation instructions.

Where we provide a digital proof or design preview for approval, you are responsible for reviewing that proof carefully before approval.

Once a personalised or custom product has entered production, it may not be possible to change or cancel the order.

Nothing in this section limits your statutory rights where the product supplied is faulty or does not match the specifications agreed with us.

13. Customer-Supplied Content

Where you provide images, logos, text, photographs or other content for use in creating a personalised product, you confirm that you have the necessary rights or permission to provide and use that material.

You must not provide content that:

  • infringes another person’s intellectual property rights;

  • is unlawful;

  • is defamatory;

  • is fraudulent;

  • otherwise violates applicable law.

We reserve the right to refuse an order involving customer-supplied material where we reasonably believe its use may infringe applicable law or third-party rights.

14. Limitation of Liability

Nothing in these Business Terms excludes or limits liability where it would be unlawful to do so.

In particular, nothing excludes or limits liability for:

  • death or personal injury caused by negligence;

  • fraud or fraudulent misrepresentation;

  • breach of statutory consumer rights;

  • any other liability that cannot lawfully be excluded.

If you are a Consumer, we are responsible for foreseeable loss and damage caused by our breach of the contract or failure to use reasonable care and skill, subject to applicable law.

We are not responsible for business losses suffered by Consumers where the products were purchased wholly or mainly for personal purposes.

Different liability arrangements may apply to Business Customers to the extent permitted by applicable law.

15. Force Majeure and Events Outside Our Control

We will not be responsible for a delay or failure to perform our contractual obligations where this is caused by events outside our reasonable control.

These may include:

  • natural disasters;

  • severe weather;

  • transport disruption;

  • strikes;

  • telecommunications failures;

  • power outages;

  • supplier disruption;

  • government action;

  • customs delays;

  • other events beyond our reasonable control.

Where such an event materially affects an order, we will take reasonable steps to inform you and minimise the impact where practicable.

Nothing in this section affects rights that cannot legally be excluded.

16. Severability

If any provision or part of a provision of these Business Terms is found to be invalid, unlawful or unenforceable, that provision shall be treated as modified to the minimum extent necessary to make it valid and enforceable.

If modification is not possible, the relevant provision or part shall be treated as deleted.

The remaining provisions shall continue in full force and effect.

17. Changes to These Business Terms

We may update these Business Terms from time to time to reflect changes to:

  • our business;

  • our Website;

  • our products;

  • delivery arrangements;

  • payment methods;

  • applicable laws and regulations.

The version of these Business Terms applicable to your purchase will generally be the version in effect when you place your order.

The latest version will be made available on projectcogroup.com.
